Eligibility: To vote for a Coach/Designated Charity (defined below) during the Regional Nominating Period (also defined below) in The Infiniti Coaches Charity Challenge ("Challenge"), you must be a legal resident of the fifty (50) United States and the District of Columbia (each a "Eligible Voter") and eighteen (18) years of age or older as of 1/18/12. Employees, officers, directors, agents and representatives of ESPN Internet Venture ("Sponsor"), Infiniti, a Division of Nissan North America, Inc. ("Infiniti"), and each of their respective parent companies, subsidiaries, affiliates, advertising/promotion/fulfillment agencies and anyone else connected with the production and distribution of this Challenge (hereafter, collectively "Released Parties") and their immediate families (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and those living in their same household, whether or not related, are not eligible to vote. Challenge is void where prohibited by law. Challenge is subject to all applicable federal, state and local laws. To participate, participant must be a member of ESPN.com or one of its family of sites (e.g., ABC.com, ABCNEWS.com, Disney Online, ESPN.com/High-School and Family.com). Registration is free. If participant is not a member, participant may register by clicking on the link as indicated on the Challenge promotional page and following the instructions. Participant will be asked to provide his or her name, complete address, email address, telephone number (area code included), birth date, gender and to select a password.
How To Nominate: Between 3:00 PM Eastern Time ("ET") on 1/18/12 and 11:59 AM ET on 2/27/12 ("Regional Nominating Period"), forty-eight (48) college basketball Coaches (each a "Coach" and collectively "Coaches") along with their designated charity (each a "Designated Charity" and collectively "Designated Charities") will be profiled on www.espn.com, keyword "Infiniti". To nominate a college basketball Coach and his Designated Charity in each of the four (4) regions profiled (each a "Region"), visit www.espn.com, search for keyword "Infiniti", complete the ESPN.com member sign-in and follow the instructions provided to complete and submit the nomination form. The Regions will be determined by Sponsor in its sole and absolute discretion. There is a limit of one (1) nomination per person, per e-mail address, per ESPN registrant, per Region, per day for the duration of the Regional Nominating Period. Additional nominations received beyond the specified limit or nominations generated by script, macro or other automated means or with the intent to affect the integrity of the nomination process will be void. If a participant votes by accessing the ESPN mobile site, message and data rates may apply, depending on participant's individual wireless pricing plan, in accordance with his/her wireless customer agreement. Check carrier for details. Mobile Web service may not be available in all areas. The Coach and his Designated Charity that receives the most nominations in each Region during the Regional Nominating Period will be eligible for the Infiniti Coaches Charity Challenge Finalist Voting Period.
Infiniti Coaches Charity Challenge Finalist Voting Period: The four (4) Coaches (one (1) Coach per Region) and his Designated Charity that receives the most nominations throughout the duration of the Regional Nominating Period in each Region (each a "Finalist") will be profiled on www.espn.com, keyword "Infiniti". Eligible Voters can vote for the Finalists between 1:00 PM ET on 2/27/12 and 11:59 AM ET on 3/8/12 ("Infiniti Coaches Charity Challenge Finalist Voting Period"). Voting is open to Eligible Voters who are eighteen (18) years of age or older as of 2/27/12. There is a limit of one (1) vote per person, per e-mail address, per ESPN registrant, per day for the duration of the Infiniti Coaches Charity Challenge Finalist Voting Period. Additional votes received beyond the specified limit or votes generated by script, macro or other automated means or with the intent to affect the integrity of the voting process will be void.
Winning Coach/Charity Selection: The Finalist Coach and his Designated Charity that receives the most votes throughout the duration of the Infiniti Coaches Charity Challenge Finalist Voting Period (as designated by Sponsor in its sole discretion) will be deemed the Infiniti Coaches Charity Challenge Winner (subject to these Official Terms). The remaining forty-seven (47) Coaches and their Designated Charities will be deemed the Infiniti Coaches Charity Challenge Runner-ups (subject to these Official Terms). In the event of a tie for the Infiniti Coaches Charity Challenge Winner, there will be another day of voting (one 24 hour period) added to the end of Infiniti Coaches Charity Challenge Finalist Voting Period, where Eligible Voters can vote for only the tied Finalist Coaches and their Designated Charities and the Finalist Coach/Designated Charity that receives the most votes during this 24 hour period will be determined the Infiniti Coaches Charity Challenge Winner (subject to these Official Terms).
Infiniti Coaches Charity Challenge Donations: The Finalist Coach's Designated Charity that receives the most votes will be deemed the Infiniti Coaches Charity Challenge Winner and will receive a donation in the amount of $100,000 (subject to confirmation). The forty-seven (47) remaining Coaches' Designated Charities will receive a donation in the amount of $5,000. Donations will be awarded directly to the Designated Charities, and not to the Coaches. Total value of all donations to be awarded in this Challenge: $335,000.
General Charity Donation Conditions & Details: An authorized representative of each Designated Charity will be required to sign certain documents within fifteen (15) days of date of issuance in order to receive the donation. If for any reason, the Infiniti Coaches Charity Challenge Winner cannot accept the donation, Infiniti will make the donation to the Designated Charity with the next highest number of votes. In all other instances, if for any reason, a Designated Charity cannot accept the donation, Infiniti will select an alternate charity in its sole discretion to receive the donation.
Charities may not substitute, assign or transfer a donation, but Infiniti reserves the right, at its sole discretion, to substitute the monetary donation with an item or items of comparable or greater value. Designated Charities are responsible for all applicable federal, state and local taxes, if any. By accepting the donation, each charity that is awarded the donation will be required to permit Sponsor, Infiniti, and each of their designees to use such charity's name, location, trademark, and logo in any and all media now known or hereafter devised (including on the Internet), worldwide and in perpetuity, without compensation (unless prohibited by law) or additional consents from such organization or its authorized representatives or any third party and without prior notice, approval or inspection, and to execute specific consent to use if asked to do so. All donation details are at Infiniti's sole discretion.
Miscellaneous: The name of the "authorized account holder" associated with any given e-mail address will be deemed to be the participant. The authorized account holder is defined as the natural person who is assigned an e-mail address by an Internet access provider, an online service provider, or another organization that is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. Proof (to Sponsor's satisfaction) of being the authorized account holder may be required by Sponsor. Sponsor is not responsible for lost, incomplete, late, damaged, or misdirected nominations/votes, email messages; failures or malfunctions of phones, phone lines or telephone systems or other communications malfunctions; interrupted or unavailable network, Internet Service Provider (ISP), server or other connections including those through www.espn.com; miscommunications, failed computer hardware or software or other technical failures; garbled, lost, misrouted or scrambled transmissions; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion on the Internet or for any technical problem, including but not limited to any injury or damage to participant's or any other person's computer related to or resulting from participation in this Challenge; printing or other errors appearing within these Official Terms or in any Challenge-related advertisements or other materials; or other errors or problems of any kind whether mechanical, human, technical, electronic or otherwise. The use of automated devices as specifically set forth above, is prohibited and nominations/votes through such prohibited devices are void.
By participating, participants agree to be bound by these Official Terms and agree that Released Parties and their designees may use (unless prohibited by law) their name, voice, city/state of residence, photograph and/or likeness for advertising and/or trade and/or for any other purpose in any media or format now or hereafter known without further compensation, permission or notification. Sponsor reserves the right, in its sole discretion, to modify, suspend or terminate this Challenge (or any portion thereof) should virus, bugs, non-authorized human intervention or other causes beyond the reasonable control of Sponsor, including but not limited to war or armed conflict (whether or not officially declared), labor controversy or threat thereof, and/or acts of God, corrupt or impair the administration, security, fairness or proper play of this Challenge and, in the event of termination or suspension, at its discretion, select Infiniti Coaches Charity Challenge Winner from among eligible, non-suspect nominations/votes received as of the date of the event requiring such termination or suspension.
Disputes/Choice of Law: Except where prohibited, each participant agrees that: (i) all issues and questions concerning these Official Terms shall be governed by New York law without giving effect to any principles of conflicts of law of any jurisdiction; (ii) any and all disputes, claims and causes of action at law or in equity arising out of or relating to this Challenge or any donation awarded shall be (A) resolved individually, without resort to any form of class action; and (B) filed only in the state or federal courts situated in New York County, New York state, i.e., Manhattan, and participant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such disputes, claims or causes of action; (iii) any and all disputes, claims and causes of action at law or in equity arising out of or relating to the donation shall be (A) resolved individually, without resort to any form of class action; and (B) filed only in the state or federal courts situated in New York County, New York, and participant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such disputes, claims or causes of action; (iv) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys' fees; and (v) under no circumstances will any participant be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
