ELIGIBILITY: The Applebee's Monday Night Countdown Sweepstakes ("Sweepstakes") is open to legal residents of the United States and the District of Columbia who are eighteen (18) years of age or older as of 11/12/09. Employees, officers, directors, agents and representatives of ESPN/Starwave Partners d/b/a ESPN Internet Venture ("Sponsor"), Applebee's Services, Inc. ("Presenter"), Project Support Team, Inc. ("Administrator") and each of their respective parent companies, subsidiaries, affiliates, advertising/promotion/fulfillment agencies, anyone else connected with the production and distribution of this Promotion (collectively, "Released Parties") and their immediate families (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and those living in their same household, whether or not related, are not eligible to enter or win. Sweepstakes is void where prohibited by law.

TO ENTER THE SWEEPSTAKES ONLINE: Entrant must be a member of ESPN.com or one of our family of sites (ABC.com, ABCNEWS.com, Disney Online, EXPN.com, Family.com, Movies.com). Registration is free. If entrant is not a member, entrant may register by clicking on the link as indicated on the Sweepstakes entry page and following the instructions. Entrant will be asked to provide his or her name, address, email address, telephone number, birth date, gender and to select a password. Entrant will also be asked to consent to receive promotional emails. Consenting to receive promotional emails is optional and does not have to be agreed to in order to become a member or to win a prize. As a member, entrant may enter the Sweepstakes by first logging in to the system with entrant's current username and password. Entrant may then be asked to answer survey questions or to consent to receive promotional emails from the Sponsor. Answering survey questions or consenting to receive promotional emails is optional and does not have to be agreed to in order to be eligible to enter the Sweepstakes or to win a prize. Entrants are responsible for insuring that all contact information is up-to-date and accurate.

TO OBTAIN A PARTICIPATION CODE: You may obtain an 8-digit Participation Code, which you will need to enter the Sweepstakes (as outlined below), in one of two (2) ways: 1) Visit a participating Applebee's Grill & Bar ® restaurant between 12:00:00 PM Eastern Time ("ET") on 11/12/09 and 11:59:59 AM ET on 12/31/09 ("Promotion Period") to obtain an 8-digit Participation Code. For a list of participating establishments, visit applebees.com; or 2) To obtain a Participation Code without visiting an Applebee's Grill & Bar restaurant, visit www.ESPN.com, search for keyword "Applebee's" and click on the "Don't Have a Code? Click Here." link to have the 8-digit Participation Code emailed to you within 48 hours. NOTE: The Participation Code will be emailed to the address identified on your ESPN.com member account. If your email address has changed, click on the help link at the bottom of any ESPN.com page, then click on the Change Personal Information link and follow the instructions provided.

HOW TO ENTER: Visit www.ESPN.com during the Promotion Period, search for keyword "Applebee's" and follow the instructions provided to fully complete and submit the registration form, inclusive of your Participation Code, to receive one (1) Sweepstakes entry. Limit one (1) entry per person or valid e-mail address per week. Additional entries received from any one person or e-mail address during any one week of this Sweepstakes will be void. The name of the "authorized account holder" associated with any given e-mail address will be deemed to be the entrant and must comply with these Official Rules. The authorized account holder is defined as the natural person who is assigned an e-mail address by an Internet access provider, an online service provider, or another organization that is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. Proof (to Sponsor's satisfaction) of being the authorized account holder may be required by Sponsor. Sponsor is not responsible for lost, incomplete, late, damaged, or misdirected entries, Participation Codes or email messages; failures or malfunctions of phones, phone lines or telephone systems or other communications malfunctions; interrupted or unavailable network, server or other connections including those through www.espn.com; miscommunications, failed computer hardware or software or other technical failures; garbled, lost, misrouted or scrambled transmissions; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion on the Internet or for any technical problem, including but not limited to any injury or damage to entrant's or any other person's computer related to or resulting from participation in this Sweepstakes; printing or other errors appearing within these Official Rules or in any Sweepstakes-related advertisements or other materials; or other errors or problems of any kind whether mechanical, human, technical, electronic or otherwise. The use of automated entry or similar devices as specifically set forth above, is prohibited and entries through such prohibited devices are void. By entering this Sweepstakes, entrants give their express permission to be contacted by Sponsor by telephone, e-mail and/or postal mail for Sweepstakes purposes only.

GRAND PRIZE WINNER SELECTION: The potential Grand Prize Winner will be selected in a random drawing conducted on or about 1/4/10 from among all eligible entries received by Administrator, an independent judging organization whose decisions will be final and binding in all matters relating to this Sweepstakes. Odds of winning will depend on the number of eligible entries received. Winner will be notified by email, telephone, overnight delivery and/or mail.

WEEKLY PRIZE WINNER SELECTION: Potential Weekly Prize winners will be selected in seven (7) individual random drawings (six (6) winners per week for a total of forty-two (42) winners} conducted on or about 1/4/10 from among all eligible entries received for each week of the Promotion Period. For the purpose of this Sweepstakes, each week will begin on a Thursday at 12:00:00 PM ET and end on the following Thursday at 11:59:59AM ET. Non-winning entries received for one (1) drawing will carry forward to and be included in subsequent drawings. Weekly Prize winners will be notified by email, telephone, overnight delivery and/or mail. Odds of winning a Weekly Prize will depend on the total number of eligible entries received for the applicable weekly drawing. Limit one Weekly Prize per person, family or household. Prizes: One (1) Grand Prize: A 3-day/2-night trip for winner plus one (1) guest to ESPN Studios in Bristol, CT to attend a live studio show viewing. Trip includes round-trip coach air transportation for two (2) from major U.S. gateway airport nearest winner's primary residence in the U.S., 2-night standard double occupancy hotel accommodations (one (1) room), ground transfers to/from the airport/hotel/studio and the opportunity to attend a live studio show viewing as well as dinner for two (2) at an Applebee's Grill & Bar Restaurant awarded in the form of one (1) $150 Applebee's Gift Card. Approximate Retail Value ("ARV"): $1,500. Actual value of Grand Prize may vary depending on winner's city of departure. If the actual value of the prize is less than the stated ARV, the difference will not be awarded. Travel, hotel and other arrangements to be determined by Sponsor. Exact nature & duration of live studio show viewing to be determined by Sponsor in its sole discretion. Winner and his/her respective guest must travel together on the same itinerary and are responsible for obtaining any/all necessary documents (including but not limited to valid photo I.D.) prior to departure. If the Grand Prize winner chooses not to take a guest, then the guest element will be forfeited and the remaining elements shall constitute full satisfaction of the Grand Prize. Other travel/accommodation restrictions may apply. Trip must be taken on date and time designated by Sponsor or prize will be forfeited in its entirety and may be awarded to an alternate winner. Sponsor, in its sole discretion, reserves the right to provide ground transportation in place of air transportation if a winner lives within a reasonable driving distance of Bristol, CT, as determined by Sponsor in its sole discretion, and to award no additional compensation in such event. Sponsor is not responsible for travel delays. Forty-two (42) Weekly Prizes (six (6) prizes to be awarded each week): One (1) $20 ESPN Shop gift card, one (1) $20 Applebee's gift card & one (1) football autographed by Chris Berman. ARV: $60.00. MISCELLANEOUS: All costs, including federal, state and local taxes and other expenses not specifically identified as included in the prize, are the sole responsibility of each winner. No transfer, assignment, cash redemption or substitution of a prize (or portion of prize) except by Sponsor due to prize unavailability and then for a prize (or applicable portion of prize) of equal or greater value as determined by Sponsor. Grand Prize winner will be required to execute and return an Affidavit of Eligibility, Liability Release and (where legal) Publicity Release within 24 hours of issuance of notification. Traveling companions must be eighteen (18) years of age or older as of 11/12/09 and will be required to sign and return a Liability Release and (where legal) Publicity Release prior to the issuance of travel documents. Non-compliance with the foregoing may result in disqualification and awarding of the Grand Prize to an alternate winner. If any prize notification letter or prize is returned as undeliverable, potential winner will be disqualified and an alternate winner may be selected. Designation of Grand Prize winner is subject to verification of the Affidavit/Release. By participating, entrants agree to be bound by these Official Rules and agree that: 1) Released Parties and their designees may use (unless prohibited by law) their name, voice, city/state of residence, photograph and/or likeness for advertising and/or trade and/or for any other purpose in any media or format now or hereafter known without further compensation, permission or notification and 2) Released Parties and their designees and assigns shall have no liability and will be held harmless for any liability, loss, injury or damage, including, without limitation, personal injury, death or damage to personal or real property, to entrant or any other person or entity due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of a prize (including any travel or activity related thereto) or participation in this Sweepstakes. Sponsor reserves the right, in its sole discretion, to modify, suspend or terminate this Sweepstakes (or any portion thereof) should virus, bugs, non-authorized human intervention or other causes beyond the reasonable control of Sponsor, including but not limited to war, strikes, and/or acts of God, corrupt or impair the administration, security, fairness or proper play of this Sweepstakes and, in the event of termination or suspension, at its discretion, select winners from among eligible, non-suspect entries received as of the date of the event requiring such termination or suspension.

Sponsor reserves the right to conduct a background check of any and all records of Grand Prize winner, including without limitation, civil and criminal court records and police reports. To the extent necessary under law, Grand Prize winner shall authorize this background check. Sponsor may also take all steps necessary to corroborate any information provided to Sponsor by Grand Prize winner in his/her interview. In that regard, Grand Prize winner will be obligated to provide necessary contacts and information so that Sponsor may conduct such investigation. Sponsor reserves the right (at its sole discretion) to disqualify Grand Prize winner from any prize element, based on the background check.

EMAIL CHANGE OF ADDRESS POLICY: It is the sole responsibility of the entrant to notify Sponsor if his or her email address changes. To do so, click on the help link at the bottom of any ESPN.com page, then click on the Change Personal Information link and follow the instructions.

DISPUTES/CHOICE OF LAW: Except where prohibited, each entrant agrees that: (i) all issues and questions concerning these official rules shall be governed by New York law without giving effect to any principles of conflicts of law of any jurisdiction; (ii) any and all disputes, claims and causes of action at law or in equity arising out of or relating to this Sweepstakes or any prize awarded shall be (A) resolved individually, without resort to any form of class action; and (B) filed only in the state or federal courts situated in New York County, New York state, i.e., Manhattan, and entrant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such disputes, claims or causes of action; (iii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys' fees; and (iv) under no circumstances will any entrant be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

PRIVACY: Personally identifiable information that is submitted by entrants as part of this Sweepstakes will be used to administer the Sweepstakes, select prize winners and fulfill prize, and will be treated in accordance with Sponsor's privacy policy accessible on its website at www.espn.com.
